The compliance and legislative requirements of a director, especially an NED, have become so onerous and tied in legal tape that doing anything beyond the contracted provisions is seen to be a risk.
What a pity. I disagree with this mentality. Here are some ways a board director can add value to both the board and company beyond the normal duties of a director. Feel free to evaluate these opportunities:
Leverage Industry Expertise: Directors can bring unique insights and perspectives from their previous experiences in the industry or related fields. This expertise can help the board make informed decisions about strategic direction, risk management, and emerging trends.
Expand Professional Network: Directors can introduce the company to valuable contacts and potential business opportunities within their network. This can lead to new partnerships, collaborations, and growth opportunities.
Mentor Executive Team: Directors can provide guidance and support to the executive team, helping them develop their skills and leadership capabilities. This can contribute to a stronger and more effective management team.
Champion Innovation and Change: Directors can challenge the status quo and encourage the company to embrace innovation and change. This can help the company stay ahead of the competition and adapt to a rapidly evolving business environment.
Strengthen Governance and Ethics: Directors can play a key role in ensuring that the company has strong governance practices and a culture of ethical behaviour. This can help protect the company's reputation and build trust with stakeholders.
Provide Constructive Feedback: Directors can offer objective feedback and challenge the executive team's assumptions. This can help the company identify and address potential problems before they become serious.
Promote Diversity and Inclusion: Directors can champion diversity and inclusion on the board and in the company. This can lead to a more diverse and inclusive workplace, which can benefit the company in many ways, such as improving creativity, innovation, and decision-making.
Stay Informed and Engaged: Directors can stay up to date on industry trends, regulatory developments, and best practices. This can help them provide valuable insights and advice to the board and executive team.
Be a Role Model: Directors can set a positive example for others in the company by demonstrating integrity, ethical behaviour, and a commitment to excellence. This can help create a positive and inspiring culture for employees.
